Entity registration

The Denver Department of Excise and Licenses is creating online applications for business licenses. This will streamline how the department collects information and it will reduce the amount of information needed to provide when renewing or making changes to licenses.

The entity registration record captures ownership information for businesses and organizations. When filling out your first online business license application package, you must complete an entity registration application. If you complete another online business license application later, you can provide your entity registration record ID and won’t be required to fill out the entity registration again.

Basic information

Where can I find my entity registration ID?

If you applied for a retail tobacco store, child care center, residential rental, or marijuana license through the Permitting and Licensing Center, then you have an entity registration record ID. To find it:

  1. Log in the Permitting and Licensing Center.
  2. Under “Business, Short-Term Rental, and Occupational Licensing,” select “Renew or Manage.”

All records associated to your user account, including your entity registration and its corresponding record ID, are listed. The record ID will be in a YEAR-ENTITY-####### format (example: 2020-ENTITY-1234567).

What is my entity type?

An entity type is the legal structure of your business or organization. Below are common entity types:

  • Residential rental individual or couple (This is the option that should be chosen for Residential Rentals where a single owner or a couple owns a property being used as a rental)
  • For-profit corporations
  • Limited liability companies
  • Nonprofit corporations
  • Partnerships
  • Sole proprietor (Individual owner – one name can be provided for license if married couple, family ownership, domestic partnership or other similar)

If you don't know which entity type applies to your business or organization, contact the Colorado Secretary of State's Office.

What if my property is owned in trust?

An entity registration cannot be in the name of a trust. If a property is owned in trust, the entity should be registered under the trustee, a member of the trust or an appropriate LLC. Trustees or members of a trust should use “Sole Proprietor” as the entity type. If an LLC is applying for a property held in trust, use LLC as the entity type and submit according organizational documents.

What is the true name of my business/entity?

If you operate as a sole proprietor, this is your full, legal name.

For residential rental property, if you operate as an RRP individual or couple, this is your (or both persons) full, legal name.

If you operate as any other type of entity, this is the legal name of your business or organization that you used when registering with the Colorado Secretary of State or other similar state business registration division.

Is there a fee for this application?

There is no fee for an entity registration application. You must pay fees for individual business licenses. Fees vary by license type.

Does my entity registration expire?

Your entity registration does not expire. You should keep the information up to date. If you need to make changes, review the “keeping your entity registration up to date” section below.

What is an organizational document?

An organizational document can be any of the following:

  • Articles of incorporation
  • Bylaws
  • Certificate of good standing
  • Corporate governance documents
  • Operating or partnership agreement

What is a qualifying owner for a marijuana license?

A qualifying owner is all owner licensees approved by the Colorado Marijuana Enforcement Division.

 

Entity registration application

Process overview

The first time you use the brick and mortar business license wizard, an entity registration application will be added to the application package. After submitting the application package, the department will try to review the information within seven to 10 business days. If any further information is needed the department will contact you via the email address(es) provided during the application process.

 

Required information for sole proprietors

If you operate as a sole proprietor, you must provide the following information during the application process:

General entity registration information

  • A list of any trade names under which the entity operates

Owner Information

  • Details about the owner, including their name, date of birth (DOB), home address, and contact information
  • Valid state or federally issued ID for the owner

 

Required information for corporations, partnerships, and LLCs

If you operate as a for-profit or nonprofit corporation, a partnership, or a limited liability company, you must provide the following information during the application process:

General entity registration information

  • A list of any trade names under which the entity operates
  • A copy of the entity’s articles of incorporation/organization, bylaws, certificate of good standing, operating agreement, partnership agreement or other applicable organizational documents

Owner Information

The following information is for anyone who owns 10% or more of the entity, directly or through another entity:

  • Details including their name, date of birth, home address, and contact information

 

Keeping your entity registration up to date

Update ownership information: Child care center license

When to file

You must file an entity registration ownership information update application to:

  • Add an owner who will own 10% or more of the entity, directly or through another entity
  • Remove an owner
  • Update any individual’s ownership interest.

This must be filed and approved before a new owner commences employment, or within 72 hours of an owner termination or contact information change.

How to file

Complete the child care center license amendment application(PDF, 1MB).

  • If no more than 50% of the ownership interest in the business is changing, a fee is not required:

At the "My Licenses" page, select "Amendment" for the record you want to update, and follow the prompts. Select "Notification" and "Continue Application."   • If more than 50% of the ownership interest in the business is changing:

When to file

Complete an entity registration trade name update application when you want to start or stop using a trade name.

This must be filed within 30 days of the change taking place.

Step 1: Log in to the Permitting and Licensing Center. (Use the email and password you used to create the account.)

Step 2:  Go to "My Records."

Step 3: Find the entity registration license type you want to update.

Step 4: In the "Action" column, click the "Amendment" button that is next to the entity registration you want to update.

Step 5: Click on the button for "Update Trade or Location Name."

Step 6: Follow the prompts and the pages. To move through the pages, click "Continue Application."

Change entity name or type: Child care center license

When to file

Complete an entity registration name or type change application when:

  • The legal entity type of the business changes (from an LLC to a corporation, for example)
  • The true name of the entity or person holding the license changes

This must be filed within 30 days of the change taking place.

  • The legal entity type of the business changes (from an LLC to a corporation, for example)
  • The true name of the entity or person holding the license changes

This must be filed within 30 days of the change taking place.

Update contact information

When to file

Complete an update contact information application when the main contact, mailing address, or optional email recipient information for a business changes.

This must be filed within 72 hours of the change taking place.

Step 2:  Go to "My Records."

Step 3: Find the entity registration license type you want to update.

Step 4: In the "Action" column, click the "Amendment" button that is next to the entity registration you want to update.

Step 5: Click on the button for "Update Contact Information."

Step 6: Follow the prompts and the pages. To move through the pages, click "Continue Application".
